Terms of Use of the AvenEzer Business Directory Version of October 23, 2026 By using the directory or making a payment at the web stage of the platform, you agree to these Terms of Use.

1. Company information The AvenEzer business directory, the digital platform and the related web resources belong to AvenEzer Inc. (the "Company") and are operated by it: - Corporation Number: 1731845-6 - Country of incorporation: Canada - Address: 714 York St, Office C6, London, Ontario, N5W 2S8, Canada - Phone: +1 519-871-5782 - Directory questions: info@avenezer-catalog.ink - General and legal questions: info@avenezer.ca

2. Nature of the platform 2.1. The AvenEzer directory is an international business directory and a directory of free help (the "Map of Good"), currently operating at the web stage (MVP). The paid services of this stage are described in section 3 of these Terms. The future mobile app will have separate prices and terms, of which the Company will give advance notice. 2.2. The Company does not act as an agent, broker or intermediary between users. AvenEzer is an information platform and is not a party to agreements between users. All arrangements and interactions between users take place at their own discretion and risk. Operations are carried out in accordance with the laws of Canada. 2.3. The directory service is the placement and visibility of a profile in the directory from the moment of its publication. The directory provides visibility and placement and does not guarantee sales, a number of clients, or income. 2.4. The Company does not provide services in jurisdictions subject to Canadian sanctions. Russia, Belarus, Iran and North Korea are absent from the directory.

3. Payments 3.1. All directory prices are in Canadian dollars (CAD). Paid directory services at the web stage are paid once: - Premium profile β€” by the number of people in the business: 1 person β€” $50; 2–4 people β€” $100; 5 people and more β€” $200. Online visibility of the profile (display in the international online results) β€” a surcharge of +$50. - TOP β€” a place among the first ten profiles of a subcategory β€” $100. - Advertising β€” placement packages labelled "Ad". The price depends on the creative type: with a photo β€” 7 days β€” $10; 14 days β€” $15; 30 days β€” $25; with a video β€” twice as much: 7 days β€” $20; 14 days β€” $30; 30 days β€” $50. The number of advertising spots is limited: 5 in the local (offline) results of a subcategory and 10 in the online results. If no spots remain, the system does not accept payment. - AvenEzer Wallet β€” participation in the upcoming digital business-card and coupon programme (the app stage). The wallet badge on a business profile is shown matte until participation is activated, and golden after activation (payment, or a free grant by the Company under clause 3.5). The Company will announce the participation price at the programme launch; no participation payment is accepted before the launch. 3.2. Taxes and payment processing fee: the price is increased by (1) tax, where it applies to the buyer (for buyers in Canada β€” GST/HST at the rate of the buyer's province; the Company charges GST/HST after registering as a registrant β€” until the small-supplier threshold is reached, no tax is charged), and (2) a payment processing fee. The full amount payable (price + tax + fee) is shown to the buyer BEFORE the payment is confirmed. The Company receives the amount of the service price; the tax and the fee are paid by the buyer. For buyers outside Canada, Canadian GST/HST is not charged; the tax rules of the buyer's country may apply (including VAT in the EU and VAT in Ukraine under their rules for electronic services). 3.3. The Prime status is not sold and has no price. Prime is automatically received by the business that first purchased Premium in its subcategory. The Pioneers status is received by the first ten businesses that purchased Premium at the web stage. The terms of Prime and Pioneers (including free features and the absence of a subscription in the future mobile app) do not change over time. 3.4. The prices in this section apply at the web stage of the directory (the MVP stage). TOP placement and advertising packages are web-stage services: a purchased TOP remains in effect while the web stage lasts and is not carried over to the mobile app β€” the app will not have lifetime placement at a web-stage price. A change of prices does not affect web-stage services already paid for or the terms of Prime and Pioneers β€” only their terms remain unchanged forever. 3.5. Free activations by the Company. At its own discretion, the Company may provide individual paid services, or access to them, free of charge (including Premium, online visibility, a TOP spot, an advertising package, or AvenEzer Wallet participation) β€” for example, to its own projects, partners, or individual businesses. A free activation is not a purchase and is not equal to a paid service: no payment was made for it, so no right to a refund arises for such an activation. The Company determines the scope and duration of a free activation and may change or terminate it at its own discretion, unless the Company has expressly stated otherwise in writing for a specific activation. A free activation by itself does not grant the Prime or Pioneers statuses, does not count toward territory promotion thresholds, and does not create rights to paid terms until the business makes its own payment on the general terms. 3.6. Payment signifies agreement with these Terms (see also section 6). A payment is not an investment, a loan, or the acquisition of a share in AvenEzer Inc.

4. Refunds 4.1. The Company makes a full refund if: - the payment was made by mistake (including a double charge) or money was debited but the service was not activated; - the paid service was not provided at all through the Company's fault (the advertising was not shown; the TOP spot was not granted); - the business owner requested a Premium refund before the profile was published in the directory (the service had not yet begun); - the Company discontinues the directory or cancels a paid feature β€” for the unused part of the service. 4.2. No refund is made if: - the service was actually provided: the statistics in the business's cabinet show profile views and clicks through to contacts (phone, website, email, social networks); - the advertising package period has expired and impressions took place; - the profile was removed for a breach of the rules (false data, fraud, deceiving clients); - the business ceased operations, changed its plans, or the owner deleted the account themselves after the service was activated. 4.3. Partial refund / replacement: if the display of an advertising package was interrupted by a technical malfunction of the platform, the Company first offers to extend the package by the lost days; if the owner does not agree β€” a refund in proportion to the unused days. For an advertising package whose period has not yet begun, the refund is full. 4.4. How to apply: an email to info@avenezer-catalog.ink indicating the profile and the payment. In the event of a refund, the paid statuses (Premium, TOP, advertising spots) are cancelled; the Prime and Pioneers statuses are not retained for a refunded payment. 4.5. This section applies only to paid services. No refunds are made for the Company's free activations (clause 3.5), since no payment was made.

5. Promotion of the directory 5.1. People learn about the directory primarily through the public work of partners (Averβ„’), who represent the directory in their cities and countries. 5.2. At its own discretion, the Company may run local advertising of a territory (a city or a region) once at least 200 Premium profiles have been purchased in that territory; for district centres the working threshold is 50 Premium profiles. Small settlements (for example, towns with a population of about ten thousand) are not covered by this rule β€” there the directory grows through the work of partners. This rule is a working guideline of the Company and is not a promise of specific timelines, volumes, or advertising results.

6. Agreement with the Terms and the Policy at payment 6.1. At payment, the user confirms agreement with these Terms and the Privacy Policy by ticking the corresponding checkbox in the payment form. Without such agreement, payment is not processed. 6.2. The Company keeps a record of the consent given: the account, the date and time, and the version of the documents the user agreed to. After payment, the user receives an email confirmation indicating the purchased service, the full amount, and the fact of agreement with the documents. 6.3. By paying for a service that is activated immediately after payment, the user requests its immediate activation. Nothing in these Terms limits the user's rights that cannot be waived or limited under applicable law.

7. No investment or partnership 7.1. Payment for directory services is not an investment, a loan, or the acquisition of shares or a stake in AvenEzer Inc. 7.2. The Premium, TOP, Prime and Pioneers statuses are privileges within the directory and grant no rights to manage the Company, its profits, or its assets.

8. Limitation of liability 8.1. To the maximum extent permitted by law, the Company is not liable for the user's lost profits, interruption of business, or lost business opportunities. 8.2. The Company may suspend access or remove a profile in the event of a breach of the platform rules, including false data, fraudulent activity, or a breach of the ethics of the business community.

9. Changes to the Terms The Company may update these Terms. A new version is published in the directory with its version date indicated and applies to payments made after its publication. The terms of services already paid for, and the terms of Prime and Pioneers, are not affected by changes.

10. Law and jurisdiction These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Disputes arising from these Terms are subject to the exclusive jurisdiction of the courts of Ontario β€” to the extent permitted by applicable law and without limiting the user's inalienable rights.
